These General Terms and Conditions of Sale ("Terms") set out the terms of sale and use of the services offered by EdBuild AI via the app.edbuild.ai platform, including in particular: (i) annual subscriptions, giving access to a volume of credits enabling content generation by our AI, (ii) personalized AI video avatar creation services, and (iii) one-off purchases.
Any order implies full and unreserved acceptance of these Terms.
Customer: any legal entity acting in a professional capacity (B2B).
Credits: units of consumption giving access to the content-generation features of the platform. Credits provide access to the platform’s various features according to a consumption schedule specific to each action, available in the “Usage” section of the customer account. EdBuild AI may update this consumption schedule to reflect technical, functional, or economic developments in the service. Such adjustments do not change the subscription price or the number of credits included in it, but only the number of credits required to carry out certain actions.
Subscription: a fixed-term contract, tacitly renewable, subscribed to for an annual term and providing for the annual release of the credits included in the Plan.
Credit pack: a one-off purchase of additional credits, valid for twelve (12) months from the date of purchase.
Orders for EdBuild AI’s services may be placed either directly online via the app.edbuild.ai platform, or following the customer’s acceptance of a commercial proposal sent electronically. For an online order, access to the service requires creating an account on app.edbuild.ai. Validating payment via the Stripe page constitutes full and unreserved acceptance of these Terms. For an order placed via a commercial proposal, the order is deemed firm and final upon the customer’s written acceptance of that proposal (electronic signature, confirmation by return email, or any other equivalent means) and, where applicable, upon receipt of payment or in accordance with the terms set out in the commercial proposal. Access to the service requires creating an account on app.edbuild.ai. Any commercial proposal sent by EdBuild AI incorporates, or expressly refers to, these Terms, which form an integral part of it and are deemed accepted by the customer upon acceptance of that proposal. Performance of the service begins as soon as the service is effectively made available, in particular through activation of the customer account and release of the corresponding credits.
EdBuild AI is sold as all-in-one annual plans. Each Plan brings together, within a single subscription, access to the authoring tools, credits, a number of learner licenses, and delivery features (LMS, completion tracking, statistics, certificates). The exact content of each Plan (Starter, Team, Enterprise), the volumes included, and the pricing are set out on the Pricing page: https://www.edbuild.ai/tarifs. The features included vary depending on the Plan subscribed to, as detailed on that page.
Term and billing
Plans are subscribed to for a one-year term and billed annually. The Plan is tacitly renewed for successive twelve (12)-month periods, unless terminated by the Customer before the annual renewal date. Prices are expressed in euros, excluding tax.
Credits
Each Plan includes a set volume of credits. Credits are consumed by generation actions; consumption is deducted automatically and can be viewed from the Customer account. As a general guide, 150 credits correspond approximately to one hour of generated training content; this equivalence is given for reference only and does not constitute a contractual volume commitment. Credits correspond to the annual subscription period; unused credits are neither carried over to the following period nor refunded. If additional volume is required, the Customer may upgrade their Plan to a higher tier.
Learner licenses
The learner licenses enabling training delivery are included in the Plan, within the limits set for it: a fixed number for the Starter and Team plans, as indicated on the Pricing page, and an unlimited number for the Enterprise plan, subject to reasonable, fair, and non-fraudulent use of the service. Licenses are not tied to a named individual and may be freely reassigned: deactivating a learner frees up a license for another. No learner license is sold individually.
Upgrading the Plan
The Customer may upgrade their Plan at any time from their account. Any upgrade to a higher plan takes effect immediately, with an automatic pro rata adjustment applied.
Periods owed and no refunds
The Customer is expressly informed that any annual period that has begun, including one tacitly renewed, is owed in full. The fact of not using all or part of the credits or learner licenses included in the Plan shall under no circumstances justify a request for a full or partial refund. It is the Customer’s responsibility to cancel their Plan before the renewal date if they do not wish to continue into the following period.
Termination by the Customer
Termination may be carried out at any time from the Customer account. It takes effect at the end of the current annual subscription period. No refund, whether full or partial, is due for a period that has already begun, and access to the service is maintained until the end of the paid period.
After the Plan expires: training content already created by the Customer remains stored; generation of new AI content is no longer accessible; features reserved for paid plans (in particular exports and delivery) are no longer accessible.
Special terms for the Enterprise plan
The specific terms applicable to the Enterprise plan (including on-premise deployment, choice of language model, or dedicated support) are set out in the corresponding quote or specific agreement, which supplements these Terms.
Trainer seats
Every Account user other than a Learner occupies a trainer seat, including the user holding administration rights. The number of seats included is the one stated on the Pricing page for the subscribed Plan. Additional seats may be subscribed to at any time as an add-on, under the conditions set out in the article Additional purchases (add-ons). Learners do not consume a trainer seat: they consume a learner licence under the conditions set out above.
Credit deduction on content modifications
Credits are deducted only where an action triggers the production of video or audio content. Before a Topic is saved, at the preview stage, no production is triggered: the Customer only edits the script and the slide content. No regeneration carried out before saving gives rise to any credit deduction, regardless of the type of content and regardless of the number of iterations.
Once a Topic has been saved, the video or audio content has been produced. Manual content edits and edits to the visual elements of a slide do not give rise to any deduction. Editing the script does give rise to a deduction, as it requires the relevant content to be re-produced. The deduction is calculated pro rata to the duration of the re-produced element only, namely the relevant slide for a video and the relevant exchange for a podcast, in accordance with the applicable consumption schedule. The corresponding amount is disclosed to the Customer before confirmation. Under no circumstances does editing the script of an element give rise to the deduction of the production cost of the content as a whole.
EdBuild AI offers a free trial, with no payment card and no commitment. The trial includes a volume of credits and a number of learner licences specified at sign-up, together with access to the course authoring and graphic customization (branding) features. It does not give rise to any additional features, and in particular no content export, no translation, no MCP access, and no personalized avatars or voices.
The free trial is granted for a period of thirty (30) days from the creation of the account. Upon expiry of that period, the account is kept in restricted access: the courses created remain viewable and editable by the Customer, while content generation, delivery, certificate issuance and statistics export are suspended until a subscription is taken out. EdBuild AI may, at its sole discretion, extend the duration of the trial.
Any credit balance not used at the end of the trial is added to the credit volume of the subscription taken out, with no time limit. Learner licences allocated under the trial are not cumulative with those included in the subscription.
The free trial does not give rise to any billing. It may end at any time, without the Customer being entitled to any compensation or to the continuation of the service free of charge.
The restricted access regime defined above applies on the same terms to any Account whose subscription has not been renewed. In that state, the Customer retains access to the Training Provider tab and to the legal information it contains. Certificates already issued remain valid. Subscribing to or renewing a Plan immediately restores full functionality.
Additional purchases alongside the subscription fall into two categories:
In accordance with French law applicable to B2B relationships, no right of withdrawal is available. As soon as credits are released or access to the service is granted, performance is deemed to have begun at the customer’s request; no refund, whether full or partial, may be claimed.
Prices are expressed in euros, excluding tax.
Invoices are issued automatically by Stripe and are available in the customer account.
In accordance with Article L441-10 of the French Commercial Code:
- Any late payment incurs late-payment penalties calculated at three times the applicable statutory interest rate, running from the day after the due date.
- A fixed indemnity of €40 is due for collection costs.
No discount will be granted for early payment.
